The list of works, budget, deadlines, and tools are never template-based. They are fixed individually — in the technical specification, brief, commercial offer, or final invoice.

Procedure for Acceptance of the Offer

For the agreement to gain legal force, you do not need to print and sign stacks of papers. Modern law allows working remotely. Acceptance means that you have understood and accepted the terms of our work.

Your consent is automatically confirmed by the following actions:

• full or partial payment of the invoice;
• electronic confirmation via official email;
• approval of the brief or media plan;
• provision of access to platforms and the actual start.

Rights and Obligations of the Parties

Great marketing is based on partnership. The Contractor takes responsibility for the strategy and technical implementation of the project. The Customer, for their part, provides the team with data and fast feedback.

Duties and Rights of the Contractor

To keep the work process controlled, the agency undertakes and has the right to:

• perform tasks strictly within the agreed technical specification;
• show interim results and the progress of campaigns;
• use professional marketing software;
• engage specialized contractors for individual stages;
• pause processes due to lack of payment or access.

Duties and Rights of the Customer

For the successful launch of campaigns, the client assumes the following obligations and rights:

• quickly provide basic materials and access to hosting;
• settle invoices for provided services on time;
• review texts, layouts, and provide constructive feedback;
• request statuses for the execution of their current tasks;
• freely dispose of the results of marketing work.

Cost of Services and Payment Procedure

We do not have a single price list. Each project is assessed individually. The final cost directly depends on the selected niche, the number of traffic acquisition channels, the condition of your resource, and global business goals.

We fix the exact format of calculations in the commercial offer or invoice. Payment is made exclusively after both parties have discussed and agreed on all technical nuances. The issued invoice acts as the legal basis for the transaction. Cashless payment is made in accordance with the current norms of Ukrainian legislation.

Liability of the Parties and Force Majeure

The parties are responsible for their obligations. However, the digital sphere has clear objective limits.

Vectum Agency specialists manage the algorithms of systems, but they do not own them. Therefore, no agency can provide absolute guarantees for top positions in Google, a fixed volume of daily sales, a penny-level lead price, or predictable profit. The result is strongly influenced by competitors’ actions, seasonality, and sudden updates of advertising networks. We are responsible for correct setup, ongoing management, and professional optimization of tools.

The parties are fully not liable for violation of deadlines if this occurred due to force majeure circumstances: natural disasters, large-scale communication outages, or system failures on the servers of global platforms.

Intellectual Property and Confidentiality

Written texts, advertising banners, web analytics settings, or developed code — all of this is intellectual property. All property rights to these materials fully transfer to the client immediately after the invoice is closed. The agency has the right to add a successful case to its portfolio unless otherwise stipulated by a separate clause.

The issue of confidentiality is a priority for us. Within the scope of this offer, it concerns your financial budgets, sales strategies, administrator passwords, and closed project analytics. We securely protect commercial secrets and never disclose them to third parties without your direct permission.
